SellerAide Affiliate Program — Terms and Conditions

These Affiliate Program Terms ("Terms") form a binding agreement between you ("Affiliate", "you") and SellerAide ("SellerAide", "we", "us"). By submitting an application or participating in the SellerAide Affiliate Program (the "Program"), you agree to these Terms.
1. Eligibility
To participate, you must:
- Be at least 18 years of age and legally able to enter contracts;
- Not be a current employee, contractor, or officer of SellerAide or any affiliated company;
- Not reside in, be a national of, or be located in any country subject to U.S. embargo or otherwise designated by the U.S. government as a "terrorist supporting" country, and not be on any U.S. government list of prohibited or restricted parties (including the OFAC SDN list);
- Provide accurate, complete information in your application and keep it current.
We may approve, reject, or suspend any applicant or Affiliate at our sole discretion.
2. The Program
Once approved, you will receive a unique tracking link ("Affiliate Link") and access to an affiliate dashboard. When a person clicks your Affiliate Link and subsequently subscribes to a paid SellerAide plan, you may earn a commission as described in Section 3.
2.1 Attribution
Attribution uses a last-click cookie with a 60-day window. If a prospective customer clicks multiple Affiliate Links, the most recent click within the window receives credit. If a customer clears cookies, switches devices, or signs up using a different attribution path, that referral may not be credited and we have no obligation to manually adjust attribution.
2.2 Qualifying Events
A "Qualifying Event" is the first successful paid chargeprocessed by Stripe for a referred customer's SellerAide subscription. Free trial signups, unpaid accounts, and failed charges are not Qualifying Events.
3. Commission
3.1 Rate and Duration
For each referred customer, you earn 30% of the net amount SellerAide collects from that customer for 12 months beginning on the Qualifying Event date. "Net amount" means the gross subscription payment less applicable taxes, payment processing fees, refunds, chargebacks, discounts, and credits.
Commissions continue for the 12-month period regardless of plan upgrades or downgrades, scaling with the customer's actual payments.
3.2 Payouts
- Schedule:Commissions are paid monthly. Each commission becomes payable 45 days after the corresponding customer payment clears (the "Clawback Period" — see Section 3.3). Eligible commissions are batched into a single payout each month.
- Method: PayPal only. You must provide and maintain a valid PayPal email address. Failed payouts due to incorrect or inactive PayPal accounts will be retried for 90 days, after which unclaimed commissions may be forfeited.
- Minimum threshold: $50.00 USD. Balances under the threshold roll forward to the next monthly payout.
- Currency:All commissions are calculated and paid in U.S. Dollars. Currency conversion fees, if any, are the Affiliate's responsibility.
3.3 Refunds, Chargebacks, and Clawbacks
If a referred customer refunds, disputes, charges back, or cancels their subscription within 45 days of any payment that generated commission to you, the corresponding commission will be reversed. If the reversal exceeds your current balance, the deficit will be deducted from future commissions.
3.4 No Self-Referrals
You may not use your own Affiliate Link to subscribe to SellerAide for yourself, your business, or any account you control, manage, or own a beneficial interest in. Commissions on self-referrals will be voided and may result in termination.
Agencies and consultants may refer their own clients, provided the client controls the SellerAide account and pays for the subscription themselves.
4. Promotional Conduct
4.1 Permitted
You may promote SellerAide through your website, blog, newsletter, social media, podcasts, videos, courses, communities, and direct client engagements, provided you comply with these Terms.
4.2 Prohibited
You agree not to:
- Bid on SellerAide trademarks or brand termsin any paid search, social, or display advertising. This includes "SellerAide", "Seller Aide", close variants, misspellings, and any domain combinations (e.g., "selleraide.com", "selleraide login"). Direct paid traffic to your own site or content, not directly to ours.
- Register or use domainscontaining "SellerAide" or confusingly similar names.
- Operate or list SellerAide on coupon, deal, cashback, loyalty, or incentive sites, including but not limited to RetailMeNot, Honey, Rakuten, and similar properties.
- Engage in spam or any practice violating CAN-SPAM (U.S.), CASL (Canada), GDPR (EU/UK), or any other applicable communications law. Email lists must be properly opted-in.
- Make false, misleading, or unsubstantiated claims about SellerAide, including fabricated reviews, fake testimonials, or unauthorized guarantees.
- Offer discounts, coupons, rebates, or kickbacks in connection with SellerAide referrals unless explicitly authorized by SellerAide in writing. You may not create or share your own discount codes.
- Misrepresent your relationship with SellerAide. You are an independent contractor, not an employee, agent, partner, or official representative.
- Place Affiliate Links in software, browser extensions, toolbars, or adware that injects, replaces, or rewrites links without explicit user consent.
4.3 FTC Disclosure
If you are subject to U.S. Federal Trade Commission jurisdiction (16 C.F.R. Part 255), you must clearly and conspicuously disclose your material connection to SellerAide in any promotion. This applies to written content, videos, social posts, emails, and live communications. Disclosures must be prominent, in plain language, and reasonably likely to be seen by your audience before they encounter the Affiliate Link.
Affiliates outside the U.S. must comply with their local equivalents (e.g., ASA guidance in the UK, ACCC guidance in Australia).
5. Trademark and Brand Use
SellerAide grants you a limited, non-exclusive, non-transferable, revocable license to use the SellerAide name and logo solely to promote SellerAide under these Terms. You must:
- Use the SellerAide name and logo only in their official forms (no modifications, color changes, or distortions);
- Not imply endorsement, partnership, or employment beyond what these Terms establish;
- Cease all use of SellerAide marks immediately upon termination of this agreement.
All goodwill arising from your use of SellerAide marks accrues to SellerAide.
6. Intellectual Property
SellerAide retains all right, title, and interest in the Service, the SellerAide marks, and all related intellectual property. These Terms grant no rights to you beyond the limited promotional license in Section 5.
7. Confidentiality
Commission rates, dashboard data, unreleased product information, and any other non-public information disclosed to you in connection with the Program is confidential. You may not disclose it to third parties or use it for any purpose other than promoting SellerAide under these Terms.
8. Independent Contractor
You and SellerAide are independent contractors. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to bind SellerAide or make representations on its behalf.
9. Taxes
You are solely responsible for all taxes on commissions you receive. U.S. Affiliates earning $600 or more in a calendar year will be required to provide a completed IRS Form W-9 and will receive a Form 1099-NEC. Failure to provide a W-9 when requested may result in withholding or suspension of payouts. Non-U.S. Affiliates are responsible for tax compliance in their own jurisdictions.
10. Indemnification
You agree to indemnify, defend, and hold harmless SellerAide, its officers, employees, and affiliates from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising from:
- Your breach of these Terms;
- Your promotional content or activities;
- Your violation of any applicable law or third-party rights;
- Misrepresentations you make about SellerAide.
11. Termination
Either party may terminate participation in the Program at any time, with or without cause, by written notice (email is sufficient). SellerAide may suspend or terminate immediately for any actual or suspected violation of these Terms.
Upon termination:
- You must immediately stop using Affiliate Links and SellerAide marks;
- Pending commissions earned before termination will be paid in the next regular payout cycle, unless termination is for cause (violation of these Terms), in which case any unpaid commissions are forfeited;
- Sections 5 (last sentence), 6, 7, 9, 10, 12, 13, and 14 survive termination.
12. Changes to These Terms
We may modify these Terms at any time by posting an updated version. Material changes will be communicated to active Affiliates by email at least 30 days before they take effect. Your continued participation after the effective date constitutes acceptance. If you do not agree, your remedy is to terminate under Section 11.
13. Disclaimers and Limitation of Liability
THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SELLERAIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLERAIDE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM IS LIMITED TO THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL SELLERAIDE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or the Program will be resolved exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction and venue in those courts.
15. Miscellaneous
- Entire agreement. These Terms are the entire agreement between you and SellerAide regarding the Program and supersede any prior or contemporaneous agreements on the subject.
- Assignment.You may not assign these Terms without SellerAide's written consent. SellerAide may assign these Terms freely.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. A failure to enforce any provision does not waive that provision.
- Notices. Notices to you may be sent to the email address on file in your affiliate account. Notices to SellerAide must be sent to support@selleraide.com.
